The Membership Agreement set forth below, including any schedules or addendums hereto, and together with the applicable provisions, constitute the agreement (the “Agreement”) between Grand Jet Airways Company, Inc. and Member for participation in the Club (as such terms are defined below). All currency references herein shall be to U.S. Dollars. Members hereby agree they have read and fully understands the “Terms and Conditions,” “Contract of Carriage,” Privacy Policy” and “Tarmac Policy” of this company, and have agreed to abide by such.

Whereas Grand Jet has the capability and capacity to provide air transportation services (the “Subscription Services”) through Gulfstar Air Charters, Inc. and Member desires to retain Grand Jet to perform said services.

1. Membership Club. For as long as Member maintains its account in good standing, Member will have the right to participate in the Club pursuant to the Terms and Conditions and Contract of Carriage. Member must designate to Grand Jet airways company, Inc., in writing, any other person who is authorized to make flight
   requests on behalf of Member or receive any information about Member or its account. Club services can only be provided to Member.
2. Agency Appointment: Disclosures. Member hereby appoints Grand Jet airways company, Inc., as its authorized agent, in its sole capacity as Member’s agent to (a) arrange at the request of Member the provision of services under the Club, including, without limitation, to arrange on demand air transportation services with Gulfstar Air Charters, Inc. on behalf of Member, (b) execute such documents as are necessary and appropriate in connection therewith, including, without limitation, to execute On Demand Air Transportation Contracts on behalf of Member, and (c) take all actions as are necessary and appropriate to coordinate such services on behalf of Member. Member acknowledges and agrees that such contracts entered into on Member’s behalf in accordance with the foregoing shall bind Member and be subject to terms and conditions not materially inconsistent with those stated herein.
3. Services: All flights under the Club will be operated by Operators that are FAR Part 135 certified and DOT Part 298 registered air carriers that meet all applicable regulatory, operational and safety standards. Operators will exercise complete, effective and sustainable operational control over each
   flight at all times. Gulfstar Air Charters, Inc. may own or lease certain aircraft utilized in the program.
4. Membership Account: Upon becoming a member in the club, Grand Jet shall create a Membership Account in the name of Member. Grand Jet will charge monthly dues and guest passes authorized by member and charges for related services incurred under Member’s account to Member’s Membership Account. Grand Jet reserves the right to not accept any booking request if there is an unpaid balance in Member’s Membership Account.
5. Fees: Every member intending to join Grand Jet will be charged a one-time “Initiation Fee.” However, if a member quits and terminates the agreement (Plan) and choses to rejoin Grand Jet at a later time, he/she may be charged an initiation fee again.
   • • At this time the fees are as follows:
       1. 1. 1. One-Time initiation Fee $1,395.00 – Occasional discounts may be applied.
             2. Reduced Membership I – SINGLE round-trip: $995.00 per month. Member can reserve two (2) legs at the same time.
             3. Reduced Membership II – DOUBLE round trips: $1,795.00 per month. Member can reserve four (4) legs at the same time.
             4. Full- Unlimited Membership – $2,895 per month. Member can reserve six (6) legs at the same time.

     b. Membership dues will be automatically charged to the credit card on file, every month on the anniversary day of signing up per the listed price online at www.grandjetair.com (the “Membership Fees”).

        c. Membership Fees are non-refundable. Once a fee has been charged to the members card on file, a refund will not be issued.

        d. Payment for any On-Demand charter services is due upon receipt of invoice for service(s) rendered. Grand Jet reserves the right to adjust fees in its sole discretion and will post new prices on website and email each member 45 days before change.

        e. If credit card company rejects charge or payment has not been received within 3 days, members right to flight will be halted until pending charge has been received.

         f. Accounts not paid or disputed within (10) ten-days will be subject to collections and will result in the immediate termination of services without refund of any fees already paid.

          g. Member agrees and understands, if member has an unpaid balance to Grand Jet and does not make satisfactory payment arrangements, the account may be placed with an external collection agency. Member will be responsible for reimbursement of the fee of any collection agency, which may be based on a percentage at a maximum of 35% of the debt, and all costs and expenses, including reasonable collection and attorney’s fees incurred during collection efforts.

   •      h. Member agrees that Grand Jet or any of its affiliates and the designated external collection agency are authorized to (i) contact member by telephone at the telephone number(s) provided, including wireless telephone numbers, which could result in charges to member, (ii) contact member by sending text messages (message and data rates may apply) or emails, using any email address provided and (iii) methods of contact may include using pre-recorded/artificial voice message and/or use of an automatic dialing device, as applicable.
